Draft for legal review — version 0.9.1, 1 November 2026.
v0.9.1 · 1 November 2026 · draft for legal review. Changes from v0.9 (16 October 2026): free-trial wording; version and date.
Part A — Master Terms
1. Parties and structure
1.1 This agreement is between SiteVero Pty Ltd ACN 702 446 339 of 1297A Nepean Highway, Cheltenham VIC 3192 (SiteVero, we, us) and the customer named in the Order Form (Customer, you).
1.2 The agreement consists of: (a) the Order Form; (b) these Master Terms; (c) Schedule 2 (Support and Service Levels); (d) Schedule 3 (Acceptable Use); (e) Schedule 4 (AI Features); and (f) the Data Processing Addendum. If they conflict, that order applies, except that the Data Processing Addendum prevails on the handling of personal information.
1.3 The agreement starts when both parties sign the Order Form (or when you first use the Service under an Order Form you have accepted electronically).
2. Definitions
- Active Project: a project in the Service that is not archived or closed. Archived projects remain readable and do not count.
- Authorised User: your employees and contractors you invite to your company account.
- Customer Data: all data, documents, files and content entered into or uploaded to the Service by you, your Authorised Users or External Users for your projects, including Personal Information.
- External User: a subcontractor, supplier, consultant, tenderer, worker or visitor you invite to use parts of the Service, who accepts the External User Terms.
- Fees: the fees in the Order Form.
- Modules: the functional areas of the Service listed in the Order Form (for example site sign-in and workforce, safety, meetings, tasks, procurement and tenders, documents, financial).
- Personal Information: has the meaning in the Privacy Act 1988 (Cth).
- Service: the SiteVero cloud platform, web and mobile apps, site display and worker portal, and related support, as updated from time to time.
- Subscription Term: the period in the Order Form and any renewal.
3. The Service
3.1 We grant you a non-exclusive, non-transferable right during the Subscription Term for your Authorised Users and External Users to use the Service for your internal business purposes on the projects you manage.
3.2 We will provide the Service with reasonable care and skill, substantially in accordance with its published description, and the support and service levels in Schedule 2.
3.3 We may improve and change the Service. We will not make a change that materially reduces the core functionality of a Module you subscribe to during a paid term without giving you 30 days' notice; if the change materially disadvantages you, you may terminate the affected Module and receive a pro-rata refund of prepaid Fees for it.
3.4 Features labelled beta, preview or pilot are provided for evaluation, may be withdrawn, and are excluded from the service levels.
4. Accounts and users
4.1 You appoint at least one company administrator. Your administrators control who is invited, their roles and permissions, and when access is removed.
4.2 You are responsible for your Authorised Users' acts and omissions, for keeping credentials secure and for removing access promptly when a person leaves.
4.3 Each login is for one named person. Shared logins are not permitted, except for site display devices configured through the Service.
4.4 You must notify us promptly at support@sitevero.com.au of any suspected unauthorised access.
5. Fees, invoicing and payment
5.1 Fees are in Australian dollars and exclude GST unless stated. You pay GST on taxable supplies on receipt of a valid tax invoice.
5.2 Unless the Order Form says otherwise, the base Fee is A$1,500 per month, including 2 Active Projects and all Modules listed in the Order Form. Additional Active Projects are charged at the per-site rate in the Order Form. The AI assistant is an optional add-on charged as stated in the Order Form.
5.3 We invoice in advance for the billing period in the Order Form (quarterly or annually). Invoices are payable by bank transfer within 14 days.
5.4 The number of Active Projects is measured on the first day of each billing period and at any time you exceed the project cap in the Order Form. We invoice additional Active Projects pro rata from the date they become active.
5.5 Discounts for annual or multi-year prepayment apply only to the prepaid term. Prepaid Fees are non-refundable except as stated in clauses 3.3, 12.4 and 14.
5.6 We may change the Fees for a renewal term by giving at least 60 days' written notice before the renewal date.
6. Late payment and suspension
6.1 If an undisputed invoice remains unpaid 14 days after its due date, and we have given you at least 7 days' written notice, we may suspend access to the Service.
6.2 During suspension, your users (including worker portal and site displays) cannot use the Service, but Customer Data is kept and is not deleted.
6.3 If the suspension continues for 90 days, we may terminate the agreement by notice, and clause 14 applies.
6.4 You may dispute an invoice in good faith by notice before its due date; the parties will try to resolve it within 30 days and the undisputed part remains payable.
7. Customer Data
7.1 As between the parties, you own Customer Data. You grant us a non-exclusive licence to host, copy, transmit, process and display Customer Data only to provide, secure, support and maintain the Service, to comply with law, and as permitted by clause 7.4.
7.2 You warrant that you have the rights and have given the notices and obtained the consents needed for us to process Customer Data under this agreement.
7.3 We will keep Customer Data logically separated from other customers' data, and will handle Personal Information in accordance with the Data Processing Addendum.
7.4 Aggregated insights. We may create de-identified, aggregated data from Customer Data (for example construction cost and productivity benchmarks) that does not identify you, your projects, any individual or any supplier. We own that aggregated data and may use it to improve the Service and provide benchmark reports to customers. You may opt out by notice to us, and we will exclude your Customer Data from future aggregation. [Lawyer to review: consent model, Privacy Act de-identification standard, and treatment of subcontractor pricing.]
7.5 We will not sell Customer Data and will not use it to train generally available AI models.
8. Security and backups
8.1 We will maintain reasonable administrative, technical and physical safeguards appropriate to the nature of Customer Data, including access controls separating each customer's data, encryption in transit, encrypted backups, audit logging, and restricted administrative access.
8.2 We back up Customer Data regularly. Backups are designed for disaster recovery, not as a record-keeping service for you.
8.3 We will notify you without undue delay, and in any case within 72 hours, after becoming aware of a security incident that has resulted in unauthorised access to or disclosure or loss of your Customer Data, and will provide reasonable information and assistance, including for assessment under the Notifiable Data Breaches scheme.
9. Your responsibilities
9.1 You will use the Service in accordance with Schedule 3 and applicable law, and ensure your users do so.
9.2 You remain responsible for your legal duties, including as a person conducting a business or undertaking under work health and safety laws, as a party to building contracts, under the Building and Construction Industry Security of Payment Act 2002 (Vic), and for tax, accounting and record-keeping obligations. The Service is a tool to help you organise records and workflows; it does not perform those duties for you.
9.3 You are responsible for the accuracy of information entered into the Service and for checking outputs (including reminders, calculations, generated documents and AI outputs) before relying on them.
10. Intellectual property
10.1 We and our licensors own all rights in the Service, including software, design, documentation and improvements. Nothing in this agreement transfers those rights to you.
10.2 You may give us feedback. We may use feedback without restriction or payment, provided we do not identify you publicly without consent.
10.3 Documents generated by the Service from Customer Data (such as minutes, reports and registers) form part of Customer Data.
11. Confidentiality
11.1 Each party will keep the other's Confidential Information confidential, use it only for this agreement, and disclose it only to personnel and advisers who need to know it and are bound by confidentiality obligations, or as required by law.
11.2 Confidential Information excludes information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from a third party.
11.3 We will not name you as a customer or use your logo without your prior written consent.
12. Warranties
12.1 Each party warrants that it has authority to enter this agreement.
12.2 We warrant that the Service will perform materially in accordance with its description during the Subscription Term.
12.3 If the Service does not comply with clause 12.2 and you notify us, we will use reasonable efforts to correct the non-conformity.
12.4 If we cannot correct a material non-conformity within 30 days of notice, you may terminate the affected Module and receive a pro-rata refund of prepaid Fees for it.
12.5 Except as stated in this agreement and subject to clause 13.1, all other warranties, conditions and representations are excluded to the extent permitted by law.
13. Liability
13.1 Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies any right or remedy, or any guarantee, warranty or term implied by law (including the Competition and Consumer Act 2010 (Cth)), that cannot lawfully be excluded. Where our liability for breach of a non-excludable guarantee can be limited, it is limited (at our option) to resupplying the Service or paying the cost of having it resupplied.
13.2 Cap. Subject to clauses 13.1 and 13.4, each party's total aggregate liability arising out of or in connection with this agreement is limited to the Fees paid and payable by you for the 6 months immediately before the event giving rise to the claim [or the amount in the Order Form].
13.3 Indirect loss. Subject to clauses 13.1 and 13.4, neither party is liable for loss of profit, revenue, opportunity, goodwill or anticipated savings, or for indirect or consequential loss, however caused.
13.4 Exceptions. Clauses 13.2 and 13.3 do not limit: (a) your obligation to pay Fees; (b) liability for fraud, wilful misconduct, or personal injury or death caused by negligence; (c) a party's liability for breach of clause 11 (Confidentiality); or (d) [our liability for breach of clause 8 or the Data Processing Addendum, which is capped at [2x] the Fees paid in the preceding 6 months]. [Lawyer to confirm carve-outs and super-cap.]
13.5 Each party must take reasonable steps to mitigate its loss. Our liability is reduced to the extent loss is caused or contributed to by you, your users, External Users, third-party services you connect, or your failure to follow our reasonable instructions.
14. Term, renewal, termination and exit
14.1 The Subscription Term is stated in the Order Form. Unless either party gives at least 30 days' notice before the end of the term, it renews for the same period at the then-current Fees notified under clause 5.6.
14.2 Either party may terminate by notice if the other: (a) materially breaches this agreement and fails to remedy the breach within 30 days of notice (14 days for non-payment); or (b) becomes insolvent or subject to an insolvency event. [Lawyer to check ipso facto restrictions.]
14.3 If you terminate under clause 14.2 or clause 3.3, we refund prepaid Fees for the period after termination.
14.4 Exit. For 90 days after termination or expiry, your administrators may access the Service in read-only mode and export Customer Data in the formats then available (including CSV and original uploaded files). On request we will provide reasonable assistance with export, which may be charged at our standard rates.
14.5 After that period we archive Customer Data and keep it for up to 12 months, after which we will delete it (other than backup copies that expire on our normal cycle, and records we must keep by law), unless you ask for earlier deletion in writing. We will not delete Customer Data without first giving your administrators notice.
14.6 Clauses 7, 10, 11, 13, 14.4–14.6 and 15 survive termination.
15. General
15.1 Notices must be in writing and sent by email to the addresses in the Order Form. A notice is received when sent, unless the sender receives an automated delivery failure message.
15.2 Subcontractors. We may use third-party service providers (listed in the Data Processing Addendum) to provide the Service. We remain responsible for their performance of our obligations.
15.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (excluding payment obligations), provided it gives notice and uses reasonable efforts to mitigate.
15.4 Assignment. Neither party may assign this agreement without the other's consent, not to be unreasonably withheld, except we may assign to a related body corporate or a purchaser of the Service business on notice.
15.5 Changes to these Master Terms. We may update these Master Terms for future Order Forms and renewals. Changes during a paid term apply only if you agree in writing, or if they are required by law or do not materially disadvantage you.
15.6 Disputes. The parties will first try to resolve a dispute by senior representatives meeting within 14 days of notice. This does not prevent urgent injunctive relief.
15.7 Governing law. This agreement is governed by the laws of Victoria, and the parties submit to the non-exclusive jurisdiction of its courts.
15.8 Entire agreement. This agreement is the entire agreement on its subject matter and supersedes prior proposals. Purchase order terms you issue do not apply.

Schedule 2 — Support and Service Levels
Support
- Channel: support@sitevero.com.au [and in-app support link].
- Hours: 8:30am–5:30pm Melbourne time, business days (excluding Victorian public holidays).
- Customer administrators raise requests; we may ask that end users go through their administrator.
| Priority | Example | Target first response |
|---|---|---|
| P1 — Critical | Service unavailable to all users; suspected data breach | 2 business hours |
| P2 — High | A core function (site sign-in, login, meeting send) unavailable for many users, no workaround | 4 business hours |
| P3 — Normal | Function impaired with workaround; single user issue | 1 business day |
| P4 — Low | Question, minor defect, feature request | 3 business days |
Response targets are targets, not guaranteed resolution times.
Availability
- Target availability: 99.5% per calendar month, measured as the ability of users to sign in and use the web application, excluding scheduled maintenance, beta features, events under clause 15.3, and failures caused by your systems, networks, devices or third-party services you connect.
- Scheduled maintenance: we aim to give at least 48 hours' notice and to schedule it outside 7am–6pm Melbourne time on business days.
- [Service credits: if availability falls below 99.5% in a month, on request you receive a credit of 5% of that month's base Fee for each full 0.5% below target, up to 25%. Credits are your sole remedy for availability shortfalls, without limiting clause 13.1.] [Lawyer and Bruce to decide whether to offer credits.]
Offline use
Some site functions may work with limited connectivity and synchronise later. Records are not final until synchronised; you should check for pending items.
---
Schedule 3 — Acceptable Use
You and your users must not:
- use the Service for unlawful, fraudulent, defamatory, harassing or discriminatory purposes, or to upload content that infringes others' rights;
- upload malware, or interfere with, overload or disrupt the Service or its infrastructure;
- attempt to access data of other customers, or to test, scan or bypass security controls, without our prior written consent;
- reverse engineer, decompile or copy the Service except to the extent permitted by law;
- resell, sublicense or provide the Service to third parties other than External Users for your projects;
- use automated means to access the Service other than through APIs or integrations we provide, within published rate limits;
- use the Service to send unsolicited commercial messages, or send messages to people without a lawful basis;
- upload sensitive information (including health information) unless it is necessary for your legitimate project purposes and you have the required consent;
- use the Service to build a competing product, or to benchmark it for publication without our consent.
We may suspend affected users or content to stop a serious breach or a security threat, acting proportionately, and will notify you promptly.
---
Schedule 4 — AI Features
- The AI assistant and other AI-assisted features (AI Features) use third-party models, currently Anthropic's Claude API.
- Inputs you submit and outputs generated are Customer Data. Our AI provider processes them only to provide the feature, under terms that prohibit using them to train its models. [Confirm current provider terms and data residency.]
- AI outputs may be inaccurate, incomplete or out of date. A person must review outputs before relying on them, sending them to others, or using them for safety, contractual, financial or legal decisions.
- AI Features act only with the permissions of the user using them. Actions that send messages or change records require the user's confirmation.
- Meeting audio recordings, where enabled, are kept for 3 years unless deleted earlier by your administrator, and participants must be told the meeting is being recorded.
- External AI access (API/MCP connectors), where enabled by your administrator, is read-only and uses personal tokens limited to that user's permissions.
- We may set usage limits for AI Features and change the AI provider on notice, provided the replacement provider is bound to equivalent data protection terms.
- AI Features are excluded from the availability target in Schedule 2.
External User Terms
Draft for legal review — version 0.9.1, 1 November 2026.
v0.9.1 · 1 November 2026 · draft for legal review. Changes from v0.9 (16 October 2026): free-trial wording; version and date.
For subcontractors, suppliers, consultants, tenderers, workers and visitors. Draft for legal review — effective [date].
1. Who these terms are with
1.1 You have been invited to use SiteVero by a builder, developer or contractor (the Inviting Company). These terms are between you and SiteVero Pty Ltd ACN 702 446 339 (SiteVero).
1.2 Your contract for work, supply, employment or a tender is with the Inviting Company, not SiteVero. SiteVero is not a party to it and does not supervise, certify or pay for any work.
1.3 If you use SiteVero for a company (for example as a subcontractor's administrator), you confirm you are authorised to accept these terms for it.
1.4 By selecting "I agree" or using the service, you accept these terms. Using SiteVero is free for you.
2. Your access
2.1 Use only the access you are given, for the Inviting Company's projects.
2.2 Keep your login, personal code or invitation link private. Do not let anyone sign in for you or sign in for someone else.
2.3 You must not try to see information of other companies, other tenderers or other workers that you have not been given access to, or interfere with the service. Schedule 3 of our customer terms (Acceptable Use) applies to you as if you were a user.
3. What you upload
3.1 Upload only documents and information that are accurate, that you have the right to share, and that are needed for the project.
3.2 You keep ownership of what you upload. You allow SiteVero and the Inviting Company to store, use and display it for the Inviting Company's project and record-keeping purposes.
3.3 Records the Inviting Company keeps (for example site attendance, inductions, submitted tenders, signed documents and minutes) are controlled by the Inviting Company, and may be kept after your access ends.
4. Records, signatures and timestamps
4.1 Sign-ins, acknowledgements, submissions and electronic signatures are recorded with your name, time and document version, and may be relied on as evidence of what was submitted or agreed.
4.2 You agree that signing electronically in SiteVero has the same effect as signing on paper where the Electronic Transactions Act 2000 (Vic) or other law permits.
4.3 Tender submissions are visible only to the Inviting Company's tender team, and not to other tenderers. Submission times are recorded by SiteVero's server clock.
5. Privacy
Your personal information is handled as described in the collection notice shown to you and SiteVero's Privacy Policy [link]. The Inviting Company is your first contact for access or correction of project records.
6. No advice or certification
6.1 SiteVero is a records and communication tool. It does not check that work is safe, compliant or complete, or that a licence, insurance policy or document is valid.
6.2 Reminders, calculated dates and AI-generated text are a convenience. Your obligations and deadlines under your contract and the law (including the Building and Construction Industry Security of Payment Act 2002 (Vic)) still apply even if a reminder is late or missing.
7. Availability
We aim to keep SiteVero available but do not guarantee uninterrupted access. Keep your own copies of documents you need.
8. Liability
8.1 Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded.
8.2 Subject to clause 8.1, because the service is provided to you free of charge, SiteVero's total liability to you under these terms is limited to A$100, and SiteVero is not liable for indirect or consequential loss, lost profit or lost opportunity. [Lawyer to review.]
9. Ending access
The Inviting Company or SiteVero may suspend or end your access at any time, for example when a project ends, your engagement ends, or these terms are breached. Clauses 3.2, 3.3, 4, 8 and 10 continue after access ends.
10. General
We may update these terms and will ask you to accept material changes. These terms are governed by the laws of Victoria. Contact: support@sitevero.com.au.
